Seller Confidentiality Agreement

The Fine Print

In consideration of information furnished and presented to Carolina Investment Brokers LLC (“Broker”) by me about my business, Broker agrees that all confidential information including any financial information furnished to us about the business will be confidential.

For purposes of this Agreement, “Confidential Information” means any data or information that is proprietary to the Disclosing Party and not generally known to the public. Unless we agree otherwise in writing, for a period of two (2) years Broker will not disclose the confidential information to anyone except in the case where an agreement to sell the business is signed and then will only disclose the identity and confidential information to those people and companies interested in potentially purchasing the business or their partners and representatives and further shall obtain a signed non-disclosure agreement from the potential buyer prior to releasing the confidential information except as stated as follows in this agreement.

If an agreement to sell the business is signed it is understood that a profile about the business will be made which contains general information about the business including a general description, revenue, cash flow, etc. and that this information will be disclosed prior to a prospective buyer obtaining a confidentiality agreement, however the specific identity of the business will not be provided to anyone until a confidentiality agreement is signed. This profile with general information will refer to a general location and will be used to contact potential buyers and may be posted in internet databases for the sale of businesses to obtain potential purchasers and used to generate interest when contacting potential buyers. Broker may also disclose the financial information to banks to assist in obtaining financing and Broker partners that may assist with marketing.
